1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Diplome S.r.l. (“Provider”, “we”, “us”) governing access to and use of SecWallet.
By accessing, installing, integrating, or using SecWallet or any application built on it, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Definitions
- Service: the SecWallet platform provided as Software as a Service (SaaS).
- Application: any mobile or web app built using SecWallet technology.
- Customer: the entity deploying or operating a wallet solution using SecWallet.
- End User: an individual using an Application.
- Device: any device used to access the Application.
- Third-Party Services: services not owned or controlled by the Provider.
- Issuer: a third party that issues digital credentials to a wallet.
- Relying Party: a third party that requests and verifies presentations.
- Credentials: digitally signed attestations (e.g., Verifiable Credentials) received by a wallet.
- Presentations: cryptographically protected disclosures of data/claims to a Relying Party.
3. Description of the Service
SecWallet is a Wallet as a Service (WaaS) and white-label digital wallet technology platform designed to support wallet implementations aligned with EUDI Wallet architectural principles, including secure wallet environments, cryptographic key management, storage and presentation of Verifiable Credentials, and interactions with Issuers and Relying Parties.
SecWallet is a technical product. It is not a governmental wallet, identity authority, or trust service unless explicitly agreed in writing.
4. SaaS and White-Label Model
SecWallet is delivered as a cloud-based SaaS platform, a configurable white-label solution, and an SDK/API layer that Customers may embed into Applications. Customers are responsible for the operation, governance, and end-user experience of their deployed wallet solutions.
5. License Grant
Subject to these Terms and, where applicable, a separate commercial agreement, the Provider grants Customers a limited, non-exclusive, non-transferable, revocable license to access and use the Service, integrate SecWallet into Applications, and distribute Applications built using SecWallet under the Customer’s brand.
No ownership rights are transferred. All intellectual property rights remain with the Provider or its licensors.
6. Accounts, Devices, and Security
You are responsible for safeguarding Devices, credentials, keys, access tokens, and any authentication factors used to access the Service or an Application. You agree to implement reasonable security measures and to promptly notify the relevant operator of suspected unauthorized access.
The Provider is not responsible for losses resulting from compromised Devices, stolen credentials, or User negligence.
7. Data, Credentials, and User Control
SecWallet is designed according to user-centric principles. In typical deployments, cryptographic keys are generated and managed within the wallet environment; Credentials are stored under the control of the wallet operator or End User; and the Provider does not claim ownership of Credentials or identity data.
Personal data processing by the Provider, if any, is limited to what is technically necessary to provide the Service and is governed by the applicable Privacy Policy.
8. Third-Party Services
Applications may interoperate with Third-Party Services (including Issuers, Relying Parties, registries, APIs, and verifiers). The Provider does not control Third-Party Services and assumes no responsibility for their availability, content, security, legality, or performance. Use of Third-Party Services is at your own risk and may be subject to third-party terms.
9. Regulatory Disclaimer (EUDI Context)
SecWallet is a technology enabler aligned with EUDI Wallet architectural principles. Unless expressly agreed in writing, the Provider is not an Identity Provider, Issuer, Relying Party, or Trust Service Provider; the Service does not itself confer legal identity or legal effect; and Customers are solely responsible for regulatory compliance of their deployments.
Architectural alignment does not imply certification, accreditation, or governmental endorsement.
10. Prohibited Uses
- violating laws or regulations;
- misrepresenting identity, authority, or regulatory status;
- interfering with security, integrity, or availability of systems;
- attempting unauthorized access, reverse engineering, or exploitation;
- infringing third-party rights.
The Provider may suspend access where misuse is suspected or confirmed.
11. Availability, Modifications, and Updates
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Provider may update, modify, or discontinue features, deploy patches, and temporarily suspend availability for maintenance or security reasons. No guarantee is made that the Service will be uninterrupted or error-free.
12. Termination
The Provider may suspend or terminate access if these Terms are materially breached, if the Service is used unlawfully or harmfully, or if required by law or security considerations. Upon termination, licenses granted under these Terms cease immediately.
13. Limitation of Liability
To the maximum extent permitted by law, the Provider shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, Credentials, business interruption, or loss of profits. Where applicable, total liability shall not exceed fees paid for the Service in the 12 months preceding the event giving rise to the claim.
14. Disclaimer of Warranties
The Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Provider does not warrant that the Service will meet specific regulatory requirements for a Customer deployment unless explicitly agreed in writing.
15. App Store and Platform Disclaimer
Applications built using SecWallet may be distributed through app marketplaces. Apple, Google, and other marketplaces are not parties to these Terms and have no responsibility for the Service or Applications. Applications are independently operated by Customers.
16. Changes to These Terms
The Provider may update these Terms from time to time. Material changes will be communicated via the website or Application, where feasible. Continued use after changes become effective constitutes acceptance of the updated Terms.
17. Governing Law and Jurisdiction
These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Rome, Italy, unless mandatory law provides otherwise.
